Terms of Service
1. Acceptance & Eligibility
By accessing or using the Vertessia website, applications, and file-conversion services (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. You must be at least 16 years old, or the age of digital consent in your country, whichever is higher. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Description of the Service
Vertessia converts 3D geometry files between formats, including free STEP→STL conversion and paid STL→STEP (mesh-to-B-rep) reconstruction. Conversion quality depends on the input file and its complexity. We do not warrant that any conversion will succeed, be geometrically accurate, watertight, or fit for any particular downstream use. Free-tier outputs may include watermark metadata and/or face-count limits by design; this is a feature of the free tier and not a defect.
3. Accounts
You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly of any unauthorized access. Accounts and paid entitlements are for a single user and may not be shared, resold, or transferred.
4. Your Content & Uploads
4.1 License you grant us
You retain all ownership of the files you upload (“Content”) and of the conversion results (“Output”). You grant us a limited, non-exclusive, worldwide license to store, process, and transmit your Content and Output solely to provide the Service to you. We do not claim ownership of your Content or Output, and do not subject them to human review except where strictly necessary to resolve a support request you raise. By default we retain uploads to improve the Service, as described in our Privacy Policy; you can opt out on each upload.
4.2 Retention & deletion
- Input files are deleted immediately after conversion (within 24 hours), unless you allow us to retain them to improve the Service — you can opt out on each upload.
- Output files are deleted automatically within 24 hours for anonymous conversions; signed-in users may retain paid Output for up to 7 days.
- On account closure, associated files are permanently deleted within 35 days.
- We do not keep backups of your Content or Output. You must retain your own copies of source files.
4.3 Your representations
You represent and warrant that: (a) you own or are licensed to use and convert each file you upload, and doing so infringes no third party’s intellectual property, privacy, contractual, or other rights; (b) your Content and use of the Service comply with all applicable laws; and (c) your files contain no malware.
4.4 Prohibited content
You may not upload or process: illegal or infringing material; child sexual abuse material (zero tolerance); obscene material; defamatory, harassing, or hateful content; content violating another person’s privacy; malware; technical data subject to export controls or sanctions (including but not limited to ITAR/dual-use-controlled CAD data you are not authorized to export); or any third-party content you lack the right to process.
5. Acceptable Use
You may not: abuse or overconsume system resources; scrape or automate access except through our documented API; circumvent quotas, watermarks, or the paywall; interfere with or probe the Service; reverse engineer it; or resell, sublicense, or build a competing conversion service on top of it. We may remove content, and suspend or terminate accounts, for violations, without refund.
6. Credits & Subscriptions
- Credits are prepaid, one-time, and consumed only when a paid Output is successfully produced and downloaded. Credits do not expire while your account is open. Credits are non-refundable except as stated in the Refund Policy.
- Subscriptions renew monthly and grant the entitlements described at purchase. You may cancel at any time; access continues until the end of the paid period, and unused monthly allowance does not carry over.
7. Payment & Taxes
Payments are processed by Stripe; we do not store your full card details. Prices are shown in USD and are exclusive of taxes. You are responsible for any VAT, GST/HST/PST, sales, or other taxes that apply to your purchase; we collect and remit such taxes where required.
8. Refunds
Refunds are governed by our Refund Policy, which forms part of these Terms.
9. Intellectual Property
The Service, including its software, algorithms, and website, is owned by us and protected by law. Except for the limited rights to use the Service granted here, no rights are transferred to you. Output is yours, as described in Section 4.1.
10. Service Availability
The free tier is provided without any service-level commitment. Any availability target for paid tiers, if offered, will be stated separately when those tiers launch.
11. Disclaimer of Warranties
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ANY WARRANTY OF CONVERSION ACCURACY, GEOMETRIC OR TOPOLOGICAL CORRECTNESS, WATERTIGHTNESS, DATA PRESERVATION, UNINTERRUPTED AVAILABILITY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 6 MONTHS BEFORE THE CLAIM OR USD 100. Nothing in these Terms excludes liability that cannot be excluded by law (such as for fraud or personal injury), and consumers retain any mandatory rights under the law of their country of residence.
13. Indemnification
You will indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your Content, your use of the Service, or your breach of these Terms.
14. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access for breach, non-payment, or legal necessity. Sections that by their nature should survive termination (including 4.3, 9, 11, 12, 13, and 15) survive.
15. Governing Law & Disputes
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Vancouver, British Columbia have exclusive jurisdiction, except that consumers may bring proceedings in their country of residence where required by mandatory local law.
16. Changes to These Terms
We may update these Terms. We will post the updated version with a new “Last updated” date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.
17. Miscellaneous
If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. We are not liable for delays or failures caused by events beyond our reasonable control (force majeure). These Terms are the entire agreement between you and us regarding the Service. You may not assign these Terms; we may assign them to a successor. The parties are independent contractors.
